These Terms of Service, the “Terms,” govern access to and use of the LaGanga digital platform, including its mobile application, website, livestreams, buyer and seller tools, auction features, support services and any related products or services offered by Chu Capital, C.A.

By creating an account, accessing LaGanga, placing a bid, making a purchase, listing an item, streaming content or using any Platform feature, you represent that you have read, understood and accepted these Terms.
Do not access or use LaGanga when you do not agree to these Terms.
1. Documents forming part of the agreement

2. Nature of LaGanga
LaGanga is a technology platform that allows independent users to:
- List and promote products.
- Conduct livestream sales.
- Organize auctions.
- Place bids.
- Purchase items at fixed prices.
- Manage payments, deliveries, communications and Transaction-related claims.
A user who lists, promotes or offers products is a “Seller.”

Each purchase, sale, auction, award or payment completed through the Platform is a “Transaction.”
Unless expressly stated otherwise, Chu Capital:
- Does not own listed products.
- Does not manufacture the products.
- Does not take title to or possession of the products.
- Is not the commercial seller of the products.
- Does not automatically guarantee the authenticity, quality, safety or legality of every product.
- Is not the principal party to the sales contract between a Buyer and Seller.
The sales contract for an item is directly between the Buyer and Seller.
Chu Capital provides technology that facilitates the Transaction and may provide supplementary payment-processing, support, moderation, fraud-prevention and claim-resolution services.
Nothing in this section limits any mandatory obligations applicable to Chu Capital.

10. Auctions and bids
Sellers may offer products through auctions.
By placing a bid, the Buyer makes a binding offer to purchase the item for the bid amount when the Buyer wins.
A bid may not be withdrawn merely because the Buyer:
- Changed their mind.
- Found a different price.
- Did not read the description.
- Did not watch the entire stream.
- Miscalculated the amount.
- Allowed another person to use the account.
The winning Buyer must pay for the item and applicable charges.
An auction may close:
- When the timer expires.

- When validly cancelled by Chu Capital.
Chu Capital may void a bid or auction when there is evidence of:
- An obvious technical error.
- Accidental duplication.
- Fraud.
- Manipulation.
- Artificial bidding.
- Collusion.
- Unauthorized account use.
- A violation of these Terms.

Chu Capital may cancel Transactions, hold related payments, suspend accounts or take other reasonable action when manipulation is detected.

Buyers must review the total before paying.
Bank fees, conversion charges, exchange-rate differences and third-party charges may be the user’s responsibility when disclosed during the Transaction.

15. Authorization to receive Seller payments
When Chu Capital or a designated provider receives payment relating to a Transaction, it may do so as a payment facilitator for the Seller.
To the extent permitted by applicable law, a valid payment made by the Buyer through LaGanga’s authorized payment method satisfies the Buyer’s payment obligation to the Seller for the amount actually received.
Payment to the Seller remains conditional upon:
- Effective and irreversible receipt of the payment.
- Satisfaction of delivery conditions.
- No unresolved claim.
- No suspected fraud.
- Completion of verification requirements.
- Deduction of fees, taxes, refunds, chargebacks and amounts owed.
This provision does not mean that Chu Capital is a bank, trustee or deposit-taking institution, or that user balances are bank deposits.

Chu Capital may charge Sellers and, when disclosed, Buyers:
- Sales commissions.
- Processing charges.
- Withdrawal fees.
- Shipping charges.
- Promotional fees.
- Additional-service fees.

- Suspend or terminate accounts in cases of abuse.
Fraudulent chargebacks or chargebacks submitted after correct receipt of an item violate these Terms.

Users may not:

- Pressure users to cancel and pay directly.
- Use messages to divert Transactions.
- Simulate cancellations to complete outside sales.
